Business registration, deregistration and deregistration

  • Performance specification

    Any person is permitted to operate a trade unless exceptions or restrictions are prescribed or authorised by the Trade Regulation Act.
    In the case of foreign nationals, the exercise of a self-employed trade may not be prohibited by conditions imposed by the immigration authorities (does not apply to EU citizens). Restrictions apply, for example, to businesses that require supervision, such as used car dealerships (purchase and sale of high-quality consumer goods), travel agencies, marriage and partnership agencies, key and security services and detective agencies.
    In these cases, a current certificate of good conduct and an extract from the central trade register must be enclosed with the business registration or requested for submission to the Trade Regulation Department.
    If a craft is to be practised as a trade, the special requirements of the Chamber of Crafts must be taken into account. The catering and estate agent trades are also subject to special requirements. A business registration is not required for freelance activities. This includes Agriculture and forestry, fishing, mining as well as scientific, artistic and literary activities.

    Registration
    Every person (including partnerships or legal entities, e.g. public limited companies or limited liability companies) who takes up the independent operation of a standing trade must register this trade.
    Examples of standing trades are companies, insurance agents, retail shops and similar. This does not include travelling trades, market trades or independent trades.
    The prerequisite for registration is that the business is located in the city of Beckum, regardless of where the person is registered. The same applies to independent or dependent branch offices.

    Deregistration
    If a business is

    • due to closure (for personal reasons)
    • by relocating the business premises to another city
    • by leaving a company
    • by changing the legal form

    abandoned, a business deregistration is required.

    Re-registration
     A business registered in Beckum changes if

    • the business is relocated within the city limits,
    • the declared activity changes or is extended to goods or services that are not related to the declared activity.

    • If a so-called trade requiring supervision is to be exercised, a current certificate of good conduct and an extract from the central trade register must be enclosed with the business registration.
    • If a craft is to be practised as a trade, it must be entered in the Register of Craftsmen or the Ancillary Register of Craftsmen at the relevant Chamber of Crafts before registering the trade. Information on this can be obtained from the Chamber of Skilled Crafts or the specialised service for trade regulations.

    The official act is currently subject to the following fees in accordance with the corresponding tariff points of the NRW General Administrative Fee Schedule:

    • Tariff item 12.1.3:

    Certificates of receipt and examination of the notification of the commencement or relocation of a business operation and of changes (change of the subject matter of the business, expansion to include goods or services not customary in the business) (Section 15 (1) in conjunction with Section 14 (1) sentence 1 and Section 14 (1) sentence 2 nos. 1 and 2 of the Trade Regulation Act - GewO)

    • for natural persons and partners authorised to represent partnerships that are not legal entities: Fee 26 euros
    • for legal entities, even if they are partners authorised to represent partnerships: Fee 33 euros
    • for each additional legal representative in the case of legal entities: Fee 13 Euro

     

    • Tariff item 12.1.4:
      Issue of a duplicate of the business registration for the trader: Fee: 15 euros
